摘要

探索中国国有企业改革之路是一个循序渐进的过程，一直是我国经济体制改革的重点和难点，然而随着改革的进一步深化和企业自身的发展，在理论上出现了对企业治理结构改革的分歧，实践中治理结构存在的问题束缚了企业的发展，这就需要我们进一步完善国有企业的治理结构。
     论文首先回顾了国内外公司治理的研究动态，并全面系统地介绍了公司治理的内涵及其一般理论，接着在实证分析我国国有企业发展的历程基础上，由此揭示出我国国有企业进行治理结构改革的必要性，并进一步评价了我国国有企业渐进式的公司治理结构改革过程，然后深入剖析了目前我国国有企业公司治理结构改革存在的问题及成因，认为在目前的企业外部环境条件下，对国有企业实施利益相关者治理的条件还远未具备，最后针对我国公司治理结构改革的外部市场环境约束，提出了我国国有企业公司治理结构改革的基本思路，并指出在加快外部市场治理环境改革的同时，以规范股东大会、董事会、监事会等方面加强内部治理。
Chinese reform on state-owned enterprises(SOEs) not only is an incremental and constantly exploring process, but also is an important and difficult point in the reform of China's economic system. However along with the further deepening reform and the development of SOEs,there are difference about the governance structure in theory,and there are some problems in practice blocking up their development. So the governance structure in SOEs need be perfect.
    Firstly,this article reviews studies on domestic and international corporate governance , introduces comprehensively and systematically the intension of governance structure and its common theories. In succession , based on the positive analysis of development of SOEs,this thesis finds causes for emergence and development of SOEs. Thereby,this thesis reveals the necessity of the reform of governance structure in SOEs,and has appraised the progressive reform course about governance structure.After that,this thesis analyses deeply main existing problems,such as the owner lacks,insider control under administrative intervention,equity structure and their respective causes. According to the retrainment from China's present outside market environment,the condition that stakeholder governance should be implemented has not possessed far yet.This article proposes the basical path to the reform of governance structure of SOEs,and it is worthwhile stated that we postulate an optimizing pathway for interim of SOEs' governance model from administratively-oriented governance of enterprise to economically-oriented corporate governance ,and then points out that we can reinforce internal governance from angles of improving the reform of property right system,and standarding stockholder board,director board and supervisor board while accelerating outside market environment reform.
