论我国上市公司的独立董事制度

摘要

随着经济全球化的发展，独立董事制度被引入我国的上市公司。近年来，由于其理论上的欠缺和实际操作过程中出现的问题，独立董事制度得到了理论界的广泛关注。如何完善独立董事制度，改善公司的治理结构，促进我国经济持续发展，已成为目前我国公司法研讨的热点问题。笔者就独立董事的概念、权利和义务、及其制度的产生和发展以及我国独立董事的现状和存在的问题进行了探讨，并就如何完善独立董事制度提出对策。
     全文共分四部分
     第一部分主要探讨了独立董事的概念、独立董事制度的产生和发展。
     第二部分对独立董事的权利和义务进行分析、界定。阐述了独立董事制度的必要性及作用。
     第三部分对我国独立董事制度的现状进行了考查并对我国独立董事制度存在问题作了理论上的分析。
     第四部分就如何完善独立董事制度提出对策。论述了完善我国独立董事制度，必需建立独立董事市场准入制度与独立董事人才市场，适应市场选择机制；明确独立董事产生的方法和程序；从法律和制度上明确独立董事的职责权力；正确处理董事会和监事会法律上的权责关系；完善独立董事的薪酬激励机制；确保独立董事行使职权的优益条件。
With the econmic globalization' s development , the independent director system was led to our country' s on-corporations. In recent years the independent director system has drawn people' s wide attention in the theory world because of its theorical defect and realistic difficulty in the course of operation. It has been a hot spot how to introduce and set up and set up and better the corporation administering structure and promote the continuous development of economy in our country. The writer examines the independent director' s conception and right and duty and its origin and development, analyzing the present situation of the independent director system and probing the present problems which was led to our country' s on-corporations in China. And proposes some answers about how to better the independent director system.
    The whole article includes 4 parts.
    The first part mainly examines the conception and the origin and development of the independent director system.
    The second part analyses and defines the right and duty of the independent director and its necessity and function.
    The third part examines the basic survey of the independent director system and analyses the present problems of the independent director system in China.
    The forth part proposes some answers about how to better the independent director system.
