中国上市公司治理评级研究

摘要
20世纪90年代出现的全球范围内的公司治理运动，经过10年的发展，已经进入成熟阶段，公司治理运动的焦点逐渐由宏观层面治理原则的制定转向微观实践，即单个上市公司如何根据公司治理原则制定公司治理战略，提高公司治理水平，以及投资者如何基于公司治理进行投资决策。相应地，作为公司治理量化指标的公司治理评级在90年代末开始逐步发展起来。90年代末21世纪初，标准普尔、里昂信贷、戴米诺等评级机构开始在新兴和发达市场推出公司治理评级服务。
本文针对中国上市公司治理存在的问题，在现阶段根据我国的上市公司治理现阶段的特点以及应遵循的原则，借鉴标准普尔、戴米诺等较为成熟的公司治理评价体系，结合中国的《公司法》、《证券法》、《上交所上市公司公司治理指引征求意见》、《上市公司章程指引》、《关于在上市公司实行独立董事制度的规定(征求意见稿)》和2002年初颁布的《上市公司治理准则》等法律、法规，以及监管部门关于信息披露等方面的有关规定，以及专家学者关于上市公司治理实证研究的结果，建立了一个我国上市公司治理评价体系。
首先，论文将各家对公司治理的定义进行论述。接着论述了公司治理的兴起及建立良好公司治理的重要性。并且良好的公司治理既需要国家通过强制性的法规对治理结构进行规定，还需要制定与市场环境变化相适应的，具有非约束性和灵活性的公司治理原则。所以接下来论文对各种治理原则进行详细的论述。
其次，论文论述了进行公司治理评级的作用和意义。接着对国内外现有的公司治理评级体系进行详细的介绍和比较。
第三，论文在借鉴以上的评级体系基础上，针对我国公司治理现状，从保护股东和债权人利益角度出发，提出了自己的公司治理评级体系。该体系包括了股权结构、股东权利和债权人关系、信息披露和审计及董事会、监事会和经理层的结构与运作四大类总共64个问题。
第四，论文针对基金投资的上证180样本股共50家公司进行实证分析，得出上市公司治理情况，对影响治理水平的各类因素进行详细分析。
最后，论文总结了主要结论和展望。
The worldwide corporate governance movement that the 90's of 20 centuries appear , through 10 years' development, have entered for mature stage, the focus of corporate governance movement changes gradually from the establishment of the corporate governance principle to the practic, namely how an individual listed company establishes corporate governance strategy according to the corporate governance principle, increasing the level of corporate governance, and how the investors decide their investment based on corporate governance.At the end of 90's, Standard&Poor's, CLSA, Deminor etc. starts to release their corporate governance rating service at the emerging market and the developed market.
This thesis aims at the existed corporate governance problem of the Chinese listed companies, in present stage bases on the Corporate Law of the People's Republic of China, the Securities Law of the People's Republic of China and Code of Corporate Governance for Listed Companies in China etc., draws lessons from the international practices, combines the situation of Chinese, establishes a corporate governance rating system for aiming at Chinese listed companies.
First, the thesis discusses the definition of corporate governance. Then the thesis discusses the importance of corporate governance. After that the.thesis discusses the corporate governance principle detailedly.
The second, the thesis introduces and compares with all kinds of corporate governance rating system.
The third, the thesis drawing lessons from corporate governance rating system above, aims at Chinese listed companies' present condition, sets out with protecting the shareholder the creditor benefits angle, putting forward own corporate governance rating system. That system included four major types of in the aggregate 64 problems.
The fourth, the thesis analyzes 50 listed companies, getting the corporate governance level of the listed companies.
Finally, the thesis summarizes the main conclusion and the outlook.
