摘要
整体性安排理论认为,法律只是众多市场治理机制中的一种,它与非法律机制是既分工又协作的关系,共同构成市场治理复合体。我国民间融资乱象折射出的法律治理失灵,是由于法律制度不完善导致市场治理复合体异变为单一法律治理、法律治理领域错位、法律与非法律机制内在价值冲突等原因造成的。有效发挥法律在民间融资市场治理中的作用,需要转变单一法律治理观念,为非法律机制治理提供空间,构建法律与非法律治理复合体;合理确定法律治理领域,促进法律与非法律治理分工协作关系的形成;以自由重构法律制度,使之与非法律治理机制的价值取向一致。
        According to holistic governance theory, law, as one of the numerous market governance systems,forms a relationship of labor division and cooperation with other non-legal mechanisms so that all the mechanisms constitute the market governance complex. The failure of legal governance reflected by the private financing chaos in China is caused by such factors as improper application of legal governance in some fields, the contradiction of inherent value between legal and non-legal mechanisms, and market governance complex being reduced into depending on legal governance alone due to incomplete legal system.In order to give law a full play in private financing governance, it is necessary to provide space for the governance of non-legal mechanisms and build a complex of legal and non-legal governances by giving up the conception of depending on legal governance alone;it is also necessary to define legal governance field and promote the formation of a relationship of labor division and cooperation between law and non-legal governance; legal system should be reconstructed based on freedom conception so that its value orientation is consistent with non-legal governance mechanisms.
